Why This Role Matters
As Assistant Manager – Legal, you'll be at the forefront of enabling GoKwik's business growth by leading complex commercial contracts, strategic transactions, and corporate governance initiatives. Working closely with cross-functional teams, you'll help structure business deals, mitigate legal risks, and build scalable legal processes that balance commercial agility with strong governance in a fast-growing fintech and SaaS environment.
What You'll Own
Commercial Contracts
- Lead the drafting, negotiation, review, and execution of complex commercial agreements across the organization.
- Advise business teams on contractual obligations, liabilities, indemnities, warranties, limitation of liability, and dispute resolution.
- Identify legal, commercial, financial, and operational risks while recommending practical mitigation strategies.
- Partner with Sales, Procurement, Product, Technology, Finance, and other business teams to enable efficient contract execution.
- Support agreements relating to enterprise customers, SaaS offerings, strategic partnerships, technology licensing, vendors, and service providers.
Contract Governance
- Develop and maintain contract templates, clause libraries, negotiation playbooks, and legal best practices.
- Drive improvements in Contract Lifecycle Management (CLM) processes and legal operations.
- Monitor contractual obligations and ensure effective governance across commercial agreements.
- Support automation initiatives and process improvements to improve legal efficiency and scalability.
Corporate Transactions
- Lead end-to-end execution of strategic transactions, including due diligence, risk assessment, stakeholder management, negotiation, and closing.
- Draft, negotiate, and execute transaction documents, including Share Purchase Agreements (SPA), Shareholders' Agreements (SHA), Share Subscription Agreements (SSA), Investment Agreements, Joint Venture Agreements, and related documentation.
- Support mergers, acquisitions, investments, corporate restructuring, integrations, and post-transaction implementation.
Corporate & Regulatory Advisory
- Advise internal stakeholders on the Companies Act, 2013, corporate governance, and secretarial matters.
- Support fundraising transactions, investor documentation, and ongoing corporate compliance.
- Provide legal guidance on FEMA, RBI, SEBI, Payment Aggregator, UPI, NBFC, DLG, and other fintech regulatory frameworks.
- Oversee governance across group entities and support Board and shareholder processes.
Who Are You
- 2–4 years of experience in corporate legal, commercial contracts, or a leading law firm with strong transactional exposure.
- Strong expertise in commercial contracting, corporate transactions, and legal negotiations.
- Deep understanding of the Companies Act, 2013, corporate governance, and fundraising transactions.
- Working knowledge of RBI, FEMA, SEBI, Payment Aggregator, UPI, NBFC, DLG, and other fintech regulations.
- Excellent drafting, negotiation, stakeholder management, and advisory skills.
- Ability to balance legal risk with commercial objectives in a high-growth, fast-paced environment.
- Comfortable leveraging AI tools to improve legal operations, documentation workflows, and overall process efficiency.
